1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Valley Fresh Express Ltd. ("Valley Fresh Express," "we," "us," or "our"), governing your use of our website at https://www.valleyfreshexpress.ca and our cold-chain logistics services. By accessing our website or engaging our services, you agree to be bound by these Terms.
2. Services Description
Valley Fresh Express provides temperature-controlled freight transportation services, including but not limited to:
- Refrigerated less-than-truckload (LTL) shipping
- Temperature-controlled full truckload (FTL) transport
- Cross-dock and consolidation warehousing
- Real-time temperature monitoring and compliance documentation
- Cold-chain logistics consulting
All transportation services are subject to applicable federal and provincial regulations, including those administered by Transport Canada, the Canadian Food Inspection Agency (CFIA), and the British Columbia Ministry of Transportation and Infrastructure.
3. Service Agreements
Individual shipments and ongoing service arrangements are governed by separate shipping agreements, bills of lading, and/or master service agreements. In the event of any conflict between these Terms and a specific service agreement, the specific service agreement shall prevail.
Quotes provided by Valley Fresh Express are valid for 30 days unless otherwise stated. All pricing is in Canadian dollars (CAD) and subject to applicable taxes.
4. Shipper Responsibilities
As a shipper using our services, you agree to:
- Provide accurate and complete information about your cargo, including product type, weight, dimensions, and required temperature range
- Ensure goods are properly packaged and pre-cooled to the required temperature before pickup
- Comply with all applicable food safety regulations
- Provide accurate pickup and delivery addresses and contact information
- Ensure all required documentation (phytosanitary certificates, commercial invoices, etc.) is complete and accurate
- Not ship prohibited, hazardous, or illegal goods
5. Liability and Cargo Claims
Valley Fresh Express's liability for loss or damage to cargo during transport is governed by the applicable provisions of the Canada Transportation Act and the Conditions of Carriage set out in the bill of lading.
- Claims for loss or damage must be filed in writing within 60 days of delivery (or expected delivery date)
- Carrier liability is limited to the lesser of the actual value of the goods or $4.41 per kilogram, unless a higher declared value has been agreed upon and additional charges paid
- Valley Fresh Express is not liable for losses resulting from shipper negligence, improper packaging, or inherent product defects
- We are not liable for delays caused by weather, road closures, border delays, or other force majeure events
6. Temperature Compliance
Valley Fresh Express commits to maintaining the temperature range specified in the shipping agreement throughout transit. Our obligations include:
- Pre-cooling trailers to the specified temperature before loading
- Continuous temperature monitoring via IoT sensors during transit
- Providing complete temperature logs for each shipment
- Issuing automated alerts if temperature deviations occur
The shipper is responsible for ensuring that goods are at the correct temperature at the time of pickup. Valley Fresh Express trailers are designed to maintain temperature, not to cool down warm cargo.
7. Payment Terms
Unless otherwise agreed in writing, payment terms are net 30 days from the date of invoice. Late payments are subject to interest at a rate of 1.5% per month (18% annually). Valley Fresh Express reserves the right to withhold services for accounts with outstanding balances.
8. Website Use
When using our website, you agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to our systems or data
- Transmit viruses, malware, or other harmful code
- Reproduce, duplicate, or copy any content without written permission
- Submit false or misleading information through our forms
9. Intellectual Property
All content on this website — including text, graphics, logos, images, and software — is the property of Valley Fresh Express Ltd. or its licensors and is protected by Canadian and international copyright laws. You may not use our trademarks, trade names, or branding without prior written consent.
10. Limitation of Liability
To the maximum extent permitted by law, Valley Fresh Express shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services. Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Valley Fresh Express, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms, your use of our services, or your violation of any applicable law or regulation.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of British Columbia, Canada, and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
